Preamble


The youbuyda GmbH (hereinafter referred to as youbuyda), located at Siemensstraße 7, 35394 Gießen, offers a convenient way to order products from local retailers online, quickly and easily. You can browse the extensive range of participating retailers from many cities online and have your order delivered to your home, and thanks to the possible Same Day Delivery, even on the same day. If you prefer to pick up your desired items yourself, you can conveniently select and order them online and collect them in person at the respective store.
Together, these services constitute the so-called "Local Commerce Suite." The Local Commerce Suite offers commercial providers (hereinafter referred to as users) the opportunity to publish information about services and goods to end consumers (hereinafter referred to as users) via Amazon, Google, and youbuyda. The Local Commerce Suite can be used under the following terms of use and privacy policy. The use of services that go beyond this definition generally requires prior registration or separate commissioning in compliance with these terms of use (user terms and conditions).

1. Services, Responsibility for Offers


Youbuyda has developed software, "the Local Commerce Suite," which enables smaller retailers to establish technical connections to German webshops such as Amazon Click & Collect and Google Local Feed.

Local Commerce Suite

In the Local Commerce Suite by youbuyda, merchants will find a central management system tailored to brick-and-mortar retail, with its permission concepts for individual employees, order and return management, and a configurable notification system. The suite can be quickly and flexibly integrated into existing store processes, without requiring specific technical expertise.
Below is a summary of the different components and services included in the suite:

  1. Standardized Support by youbuyda Customer Care:

    The Local Commerce Suite offers standardized support through the youbuyda Customer Care Team. This team is available to users to assist with questions and issues, ensuring a smooth use of the Suite.

    By using youbuyda's services, you agree that youbuyda has the right to log into your user account at any time for support purposes. This access is intended for efficiently resolving technical problems, addressing malfunctions, and assisting with inquiries.

  2. Central management of all sales/visibility channels per company:

    With the Local Commerce Suite, companies can centrally manage their sales and visibility channels. This allows for efficient control and updating of information across all channels.

  3. Data integration with store inventory/POS using various methods:

    The Local Commerce Suite enables data integration with store inventory and the Point-of-Sale (POS) system through various methods such as FTP, link, and API. This allows relevant data such as store ID, EAN, price, and stock to be transmitted in the predefined format (further information can be found here). Optionally, the price for the product in Amazon BOPIS can also be provided.

The suite includes various products, including:

  1. Local Connect (Google SWIS)

    youbuyda as a data provider for Google Local Feed offers the product Local Connect. Local Connect enables the connection of store inventories to Google Merchant Center and Google Business Profile. The user is responsible for the data connection by providing EANs, inventory, and price information per store in the required format. The inventory is automatically updated at least once a day.

  2. ShopLocal (youbuyda Shop)

    ShopLocal offers each store operation its own local online shop on youbuy.de. youbuyda provides part of the article content, but missing article information must be supplied by the retailer. The store data, including business information, basic data such as phone number and address, opening hours, logo and store image, social media links, payment methods, parking facilities, and a view of featured articles, can be managed in the dashboard.   3. Shop & Connect (Google SWIS + Shop)

    Shop & Connect combines the functionalities of Local Connect and ShopLocal. It includes a standardized local shop for each store on youbuyda.com.
    The shop can display the logo and a store image. The shop offers features such as a shopping cart function, product search, brand filters, and standard categories taken from Google. The products are displayed with inventory if youbuyda has article content (name, images, descriptions, etc.) that is industry-specific. In addition, an "About Us" text and a list of featured brands can be displayed.
    Product creation in the youbuyda shop is automatically done based on the transmitted EANs, prices, and inventory information, provided that the article content is available in youbuyda (depending on the industry). If youbuyda has limited article content for your industry, either using Local Connect is recommended or creating the content in consultation with youbuyda.
    In the youbuyda dashboard, you have access to various functions for managing store information, reservations, and orders at the store level. You can manage user data and account settings, view and edit store data, export orders, add and manage articles, filter orders, and change the order status. Furthermore, youbuyda serves as a data provider for the Google Local Feed to connect store inventories to Google Merchant Center and Google Business Profile.
    The support from youbuyda includes setting up the youbuyda account and stores and preparing the linkage.

    As a user, you are obligated to:

    1. Provide the data connection by supplying EANs, inventory, and price information for each store in the required format.
    2. Set up the necessary accounts by linking and confirming the Google Business Profile, Google Merchant Center, and youbuyda according to the instructions.


  4. Amazon C&C (Amazon BOPIS in store)

    youbuyda offers the product "Amazon BOPIS in Store," which enables a data connection to the Amazon Seller API. youbuyda is approved as an integrator for Amazon BOPIS and supports the transfer of inventory from already connected integrators or through the youbuyda FTP server. Once the integration has been successfully activated by the user, the inventory is automatically transmitted to the Amazon Seller API at the store level.

    As a youbuyda user, you have the following obligations:

    1. Activation of the integration via the youbuyda dashboard or Seller Central.
    2. Compliance with the requirements agreed upon with Amazon for the program.
    3. Provision of store inventory at a maximum interval of 15 minutes.
    4. Inventory buffer for smooth processing.

    The youbuyda dashboard provides various functions for Amazon BOPIS approved by Amazon:

    1. Access to the youbuyda dashboard:
      • Management of user data and account settings (contact information, newsletters, etc.) in the web version.
      • Management of store settings for Amazon BOPIS in the web version.
    2. At the store level, you can manage the following settings for Amazon Click & Collect (In web version):
      1. General store settings:
        • Individual adjustment of opening hours.
        • Specifying the store's address.
      2. Product availability:
        • Setting the order processing time.
        • Adjusting the reservation duration.
        • Option for automatic refund in case of non-pickup (optional).
      3. Amazon-specific settings:
        • Setting the business name.
        • Providing an email address for customer inquiries (displayed on Amazon).
        • Option for SMS notification upon order receipt with an unlimited number of mobile numbers.
        • Option for stock blocking (optional).
      4. User management:
        • Adding an unlimited number of users per store.
        • Role and permission concept with individual user rights settings (owner or employee).
      5. Integrations:
        • Activation or deactivation of Amazon BOPIS for individual stores.
        • Export of orders in the Open Trans format.
      6. Article management per store:
        • Creation of articles through inventory data transmission (data connection via integrator or FTP).
        • Search by EAN, brand, and article name.
        • Display of EAN, quantity, price, as well as the date of inventory change and update.
        • Possibility to manually change quantity and price in the youbuyda dashboard.
        • Filter option for articles that can be sold on Amazon for BOPIS.
      7. Management of Amazon C&C orders at the store level (web version & app):
        • Management and overview of open and completed orders.
        • Possibility to filter by order type.
        • Search function by order ID and customer name.
        • Change of order status and simultaneous transmission of status updates to Amazon. Status options:
          1. open
          2. canceled
          3. confirmed
          4. ready for pickup
          5. picked up
          6. returned
        • Email and SMS notifications to the seller upon order receipt and changes in order status.
        • Email notifications to the buyer upon order acceptance and status changes via Amazon.
    3. Guides and support for youbuyda
      1. Guides for the youbuyda dashboard, including:
        • Activation of the Amazon BOPIS integration via the youbuyda dashboard.
        • Explanation of relevant settings at the store level for Amazon BOPIS.
        • Invitation of youbuyda users for the store.
        • Activation and deactivation of articles for Amazon Click & Collect.
        • Labeling of the pickup station.
        • Guide for managing orders through the youbuyda dashboard.
      2. Online training to prepare for the onsite setup with Amazon.
      3. Customer support team to assist with questions regarding youbuyda services.

Online Payment Function

The Local Commerce Suite by youbuyda offers the integration of various payment providers for each store. Users can choose from the following integrated payment providers per store: Stripe, PayPal, and Global Payments. A prerequisite for this is that the youbuyda user already has an account with the selected Payment Service Provider (PSP). In the case of a return, the refund must be initiated directly through the PSP. The youbuyda Dashboard contains relevant hints and instructions for handling refunds. The support provided by youbuyda includes the activation of the payment system.

Online Reservation Function

The Local Commerce Suite by youbuyda offers a convenient online reservation function for your own youbuyda storefront, available to your customers. With this function, customers can easily reserve items and provide the following information:

  • Reserved item
  • First name
  • Last name
  • Email address
  • Phone number
  • Street and house number
  • Postal code
  • City
  • Order number
  • Date and time of reservation
  • Reservation status

Once a new reservation is received, you will receive an email notification. All reservations can be managed through the user-friendly youbuyda dashboard. Here, you can view and edit the status of each reservation.

Various options are available for handling each reservation:
  1. Accept reservation: Confirm the reservation and automatically send an email notification to the end customer. - Decline reservation: Reject the reservation and automatically send an email notification to the end customer.
  2. Return reservation: Return the reservation and automatically send an email notification to the end customer. Optional: Provide reasons for the return.

As a youbuyda user, you have the following obligations:
  1. Set-up:
    • Provide an email address for reservations to activate reservations.
    • Provide your own customer terms and conditions.
    • Provide your own customer cancellation policy.
  2. Payment & Refund:
    Payment and refund will be handled upon pickup by the end customer at the store. The youbuyda user is responsible for processing these payments and any refunds if necessary.
  3. Order management.

Widget Function

The Local Commerce Suite allows embedding an unlimited number of items as a widget into your own website. Optional time limits can be set for the selection of items. It can also be done individually or as a list using EAN codes and includes a preview of the selected items.
As a user, you have a variety of options to customize the widget settings:

  1. Layout: You can choose between grid or slider.
  2. Number of columns: You can specify the number of columns.
  3. Spacing: You have the ability to adjust the spacing.
  4. Frame: You can decide whether to display a frame around the widget or not.
  5. Open product detail page in a new tab: You can determine whether the product detail page should open in a new tab or not.
  6. Select color for buttons: You can choose a color for the buttons in the widget.
  7. Show background: You have the option to display the background in the widget or not.
  8. Slider configuration:
    • Autoplay: You can specify whether the slider should play automatically or not.
    • Pause: You can set the pause duration between each slide (in seconds).
  9. Preview: After selecting the desired items and making the widget settings, you can preview the widget based on your settings.

Based on the selected items and the widget settings, an embedding code will be generated in the youbuyda dashboard.
  • The product must be known to the youbuyda system.
  • There must be at least one image available for the product.
  • The product must be available in the linked store.

As a youbuyda user, you have the following obligations:
  • Set up the widget using the youbuyda dashboard.
  • Embed the generated code into your own website.

2. Approval and Use of the "Local Commerce Suite"


Approval by youbuyda is a prerequisite for using the Local Commerce Suite. The Local Commerce Suite is available to manufacturers and users (both referred to as users below) who are merchants within the meaning of the German Commercial Code (HGB) for goods and services. All usage conditions listed in these terms and conditions apply to users. The period of use begins at the beginning of the month in which the signed contract is received by youbuyda or, if the local online marketplace has not yet been implemented on youbuyda, with the actual implementation of the local online marketplace.

The user warrants that the information provided by them is true and complete. They undertake to promptly notify youbuyda of any future changes to the information provided.

All logins are individualized and may only be used by the authorized user. The user is obligated to keep the login and password confidential and protect them from unauthorized access by third parties. The user is also responsible for maintaining the confidentiality of employee logins and will instruct their employees accordingly. In the event of suspected misuse by a third party, the user will immediately notify youbuyda. Once youbuyda becomes aware of unauthorized use, youbuyda will block the access of the unauthorized user. youbuyda reserves the right to change a user's login and password; in such a case, youbuyda will inform the user about this as soon as possible.

3. Duration, Termination


With approval, a contract for an indefinite period is concluded between youbuyda and the respective user according to these terms and conditions. Approval is granted through registration by the user after verification by youbuyda. The basis of the contract is exclusively these terms and conditions described here and is expressly acknowledged by the user. Both parties have a right to terminate the contract with a notice period of 3 months to the end of a quarter. Termination can be given in written form (e.g., email).

Both parties are entitled to terminate the contract without notice if there is a significant reason. A significant reason that entitles youbuyda to terminate the contract without notice exists, in particular, if:

  1. the user's behavior jeopardizes existing contractual relationships with youbuyda's contracting partners.
  2. the user becomes insolvent, in particular, if insolvency proceedings have been initiated.
  3. the user violates the essential provisions of these terms and conditions.
  4. the data/content provided by the user violates legal requirements/prohibitions, good morals, or the rights of third parties.

Termination without notice will be preceded by a prior warning from youbuyda, unless the warning is clearly unlikely to succeed and/or youbuyda cannot reasonably be expected to continue the contract.

youbuyda is entitled to revoke or block a user's use of the Local Commerce Suite if there is reasonable suspicion that the user has violated these terms and conditions. The user can avoid these measures by dispelling the suspicion at their own expense by providing appropriate evidence. The revocation or blocking of use must be threatened to the user with a notice period of three days in advance.

4. Obligations of the Product


The user chooses the product:

  1. LocalConnect (Google SWIS) or
  2. ShopLocal (youbuyda Shop) or
  3. Shop&Connect (Google SWIS + Shop) or
  4. Amazon C&C (Amazon BOPIS in store)

Upon approval, the user promptly provides youbuyda with their selected range of goods in the form of CSV data, XML data, submission of data in the predefined format (see interface description here; price for Amazon C&C product is optional) that needs to be continuously updated. The user also promptly provides youbuyda with current stock levels and delivery times, ensuring the constant availability of goods. The user is solely responsible for the content and accuracy of the data and image rights. This means that the user is responsible for ensuring that all images provided by us accurately depict the offered products and are used appropriately. Youbuyda is not responsible for any incorrect use of the images by the merchant or for any discrepancies with the offered product. The user promptly provides youbuyda with their selected range of goods in the form of CSV data, XML data, submission of data in the predefined format (see interface description here; price for Amazon C&C product is optional) that needs to be continuously updated. The user also promptly provides youbuyda with current stock levels and delivery times, ensuring the constant availability of goods. The user is solely responsible for the content and accuracy of the data and image rights. This means that the user is responsible for ensuring that all images provided by us accurately depict the offered products and are used appropriately. Youbuyda is not responsible for any incorrect use of the images by the merchant or for any discrepancies with the offered product.

Offers posted by users on the Local Commerce Suite must also meet the following requirements:

  1. The information must be published in a manner that allows the determination of the subject matter and price of the contract.
  2. The respective offering user undertakes to comply with all current legal requirements of electronic commerce. They observe all industrial property rights, in particular copyright and trademark law, youth protection laws, and, where necessary, the regulations of distance selling.
  3. The posting or execution of an offer or sale must not violate legal regulations, official orders, or good morals. In particular, no items may be offered whose offer or sale violates the rights of third parties; the same applies to pornographic or youth-endangering articles, weapons, drugs, propaganda material from unconstitutional organizations and parties, live animals, etc. Youbuyda is entitled to remove such offers immediately.
  4. Basic prices - All users are obligated to transmit basic prices and units of measure for certain products along with their inventory. This applies to all products offered in prepackaged form, open packages, or as sales units without wrapping, based on weight, volume, length, or area. The indication of the basic price can be omitted if the basic price is identical to the total price. The unit of measure for the basic price is 1 kilogram, 1 liter, 1 cubic meter, 1 meter, or 1 square meter of the product. For goods whose nominal weight or nominal volume does not usually exceed 250 grams or milliliters, 100 grams or milliliters may be used as the unit of measure for the basic price. For loose goods offered by weight or volume, the unit of measure for the basic price is to be selected according to general commercial usage, namely 1 kilogram, 100 grams, 1 liter, or 100 milliliters. For goods typically sold in quantities of 100 liters or more, 50 kilograms or more, or 100 meters or more, the unit of measure for the basic price is to be chosen in accordance with general commercial usage. For goods for which the drained weight is to be indicated, the basic price is to be based on the indicated drained weight. For household detergents, a usual application may be used as the unit of measure for the basic price. This also applies to washing and cleaning agents if they are individually portioned, and the number of portions is indicated in addition to the total filling quantity.

By uploading content and data, the user grants youbuyda an unlimited, transferable right to use the respective content and data, in particular:

  • to store the content and data on youbuyda's servers and make them available, including their public accessibility (e.g., by displaying the content in the dashboard),
  • to edit and reproduce the content and data as far as necessary for providing or publishing the respective content and data, and
  • to grant - including for a fee - usage rights to third parties regarding the content and data with the prior consent of the user.

In the event of violations of the principles mentioned in Clause 4, youbuyda reserves the right to immediately block the user's access. The user can have their access reinstated by eliminating the legal doubts. This must be done by providing appropriate evidence. Compensation from youbuyda for the period of examination is excluded. A refund of fees paid in advance by the user is excluded.

5. User's Code of Conduct, Liability, and Indemnification


Users are solely authorized to use the youbuyda Local Commerce Suite in compliance with all applicable laws and regulations. Criminal use for the purpose of abuse, particularly for sabotaging the Local Commerce Suite or users through the introduction of viruses, spamming, mailbombing, and other methods is prohibited. Users may not directly or indirectly use software, mechanisms, and scripts in connection with the use of the services that disrupt or impair the services or affect the functioning of the youbuyda Local Commerce Suite. Users may not take direct or indirect actions that could result in excessive or unreasonable burdens on youbuyda's infrastructure. In addition, users may not directly or indirectly modify, overwrite, or block content generated by youbuyda or access the Local Commerce Suite in a disruptive manner.

There is no express written consent requirement on the part of youbuyda and/or the respective rights holder for the content accessible for the intended use of the youbuyda Local Commerce Suite, as well as for other services in the form of private, non-commercial purposes (editing, reproduction, distribution, transmission, display, publication). The copying, distribution, further reproduction, or use of the content for other purposes without the prior consent of the respective rights holder is prohibited. The names, (product) images, and logos accessible through the interfaces may be subject to protected trademarks. Furthermore, the names, (product) images, and logos may be attributed to youbuyda or third parties. Any use that goes beyond the mere display of the website requires express written consent from youbuyda or the respective rights holder. The principles mentioned also apply to so-called robot/crawler search engine technologies that enable temporary or permanent copying. The principles also apply to other automated mechanisms. Such acts and actions violate copyright and are subject to copyright enforcement. It is expressly stated that the youbuyda Local Commerce Suite is equipped with appropriate technical security mechanisms and that it has been optimized for access by specific search engines such as Google, Amazon, etc. Unauthorized use of the youbuyda Local Commerce Suite may therefore constitute a criminal offense, resulting in a claim for damages.

Obligations of the youbuyda user:

  • Data connection:
    The user is obligated to provide the required EANs (European Article Numbers), stock information, and price information per store in the specified format.
  • Set-up of necessary accounts:
    The user must link and confirm the Google business profile, Google Merchant Center, and youbuyda as instructed. Activation of payments and reservations may also be required.
  • The offers must comply with legal requirements regarding product and price information, as well as other regulations.

6. Links to Other Websites, Responsibility of Youbuyda


Websites, particularly those of registered users, may contain permanent or temporary links. These links indicate available offers and/or provide further information about these offers. However, linking does not imply prior control by youbuyda. A link does not mean that youbuyda endorses or cooperates with the respective website. If there is a reference to the internet presence of a third party, youbuyda assumes no responsibility/liability for the content of that linked page. An exception is made for legal obligations. Therefore, youbuyda explicitly distances itself from all content that can be accessed through a linked page. Furthermore, youbuyda does not endorse the content under any circumstances. By confirming a link, the user leaves the Local Commerce Suite. Therefore, different rules and conditions may apply to offers from a third party. At the same time, the general provisions regarding youbuyda's liability according to Clause 7 remain unaffected.

7. Liability of Youbuyda


The following information applies exclusively to violations for which youbuyda is responsible through active action. In the event of assuming a guarantee, intentional deceit, claims under product liability laws, as well as gross negligence and willful misconduct, youbuyda shall be liable without limitation. The same applies in cases of injury to life, health, or body. youbuyda shall be liable without limitation in the event of slight negligence if essential contractual obligations are violated, on whose regular fulfillment the contractual partner may rely (cardinal obligations), and the violation thereof jeopardizes the purpose of the contract. However, in the event of slight negligent violation of such obligations, the extent of liability is limited to the typically foreseeable damage. Liability for other cases of slight negligence is excluded. This also applies to the breach of obligations by vicarious agents. The limitation of liability primarily applies to liability for damages caused by the use of third-party services such as Google, Amazon, Bliggit, etc. Places and/or incorrect or faulty information from a third party (e.g., users). youbuyda is not responsible for such damages.

8. General Provisions


These terms of use exclusively apply. Other terms of use and general terms and conditions, as well as other contractual conditions on the part of users and/or a third party, are not the responsibility/liability of youbuyda. Furthermore, youbuyda reserves the right to modify its own terms of use at any time. The currently valid terms of use can be accessed under the link "Terms of Use." If one or more provisions of these terms of use become invalid, all other provisions remain unaffected. In such a case, the terms of use will be adjusted by the parties in such a way that the respective provision continues to have the greatest possible effect. The same applies to possible gaps in regulations. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Gießen. For determining the place of jurisdiction, the statutory provisions apply in all other respects.

9. Other Obligations of the User


The user is obligated to:

  1. establish and maintain the necessary data security measures throughout the entire duration of the contract. This primarily refers to the careful and conscientious handling of logins and passwords;
  2. immediately notify youbuyda of any technical changes occurring within their domain if such changes are likely to affect the provision of services or the security of using the Local Commerce Suite provided by youbuyda;
  3. cooperate in investigating third-party attacks on the interfaces to the extent that the user's cooperation is necessary.

The user agrees to refrain from taking any actions that could jeopardize or disrupt the functionality of the interfaces and not to access data to which they are not authorized. Furthermore, the user must ensure that the information transmitted and the data uploaded through the interfaces are not infected with viruses, worms, or Trojan horses. The user undertakes to compensate youbuyda for any damages resulting from the non-compliance with these obligations and to indemnify youbuyda against any claims made by third parties, including attorney's and court costs, arising from the user's non-compliance with these obligations.

10. Data Protection


  1. For the use of the services, the youbuyda Privacy Policy applies. It can be viewed at youbuyda.com
  2. The following applies to all users:
    1. All data provided by a user to youbuyda is stored on a server in Germany or in an EU country, even if this data originates from outside Germany.
    2. This data is not transferred between data centers outside the EU.
    3. The GDPR applies without restrictions to the storage and processing of data.
    4. Access rights to the stored data are granted only to authorized personnel of youbuyda.
    5. Reference is explicitly made to sections 10 and 11 of these Terms and Conditions, which take precedence over the aforementioned provisions.
    6. youbuyda undertakes to implement appropriate security processes to ensure compliance with the requirements outlined in points 1 to 6. youbuyda also undertakes to promptly inform the user if a violation of the privacy policy or the requirements listed under a to f is detected.
    7. youbuyda will provide the user with a contact person for data protection matters arising from the services.

11. Google


The domains used by youbuyda use Google Analytics, a web analytics service provided by Google. Google Analytics uses cookies (small text files) that are stored on the end user's computer and enable an analysis of the user's website usage. The information generated by the cookies about the user's use of this domain (including the user's IP address) is transmitted to and stored by Google on servers in the United States. Google will use this information to evaluate the user's use of the website, compile reports on website activity for website operators, and provide other services related to website activity and internet usage. Google may also transfer this information to third parties where required to do so by law, or where such third parties process the information on Google's behalf. The user can prevent the installation of cookies by adjusting the browser software settings accordingly. By using our website, all parties involved consent to the processing of data about them by Google in the manner and for the purposes set out above.

12. Google Places


  1. youbuyda uses the Google Places API Web Service, and its usage is subject to the terms of use of the Google Maps API. These terms take precedence over the general terms and conditions.
  2. No screenshots are used in the implementation of Google maps. The entire map material is subject to the copyright of those who have granted Google the corresponding usage rights.
  3. By using Google services, no proprietary rights to the content are acquired. The content may only be used if consent from the rights holder or another authorization for use is obtained. The use of Google does not grant the right to use trademarks, trademark elements, or logos used in the services. Legal notices displayed in or in connection with the services must not be removed, obscured, or altered.
  4. Maps and images from Google may be used as long as the terms of use and proper attribution are adhered to. This means that Google and the respective data providers must be named each time the content is used (this is done automatically when using the API).
  5. The content includes everything provided in the products, including maps, terrain information, images, business listings, traffic information, reviews, and similar information provided by Google, its licensors, and users (used in Google Maps, Google Earth, and Google Street View). Restrictions apply as specified in the "Legal Notices for Google Maps/Google Earth and Google Maps/Google Earth APIs." It should be noted that certain content is provided under license from third parties and is therefore subject to copyright and other intellectual property rights owned by third parties or licensed to them. This means that if permission from the rights holder to use this content is not obtained, the user is liable for the unauthorized use of this content. 14. Selling on youbuyda with Payment Providers


  1. By completing the registration for a service with a payment option on youbuyda, youbuyda does not automatically create a payment account on your behalf. It is your obligation to activate the option in the youbuyda dashboard and create your account(s).
  2. You acknowledge that the selected providers are your default payment gateway(s) and that it is solely the account holder's responsibility to activate and maintain these accounts. If any of the payment accounts are no longer active, it is your responsibility to deactivate them. For clarification: All payment providers are third-party services.
  3. To the extent permitted by law, youbuyda shall under no circumstances be liable for any lost profits or special, incidental, or consequential damages arising out of or in connection with our website, our services, or these terms and conditions (regardless of the cause of action, including negligence).
  4. For accepting payments, you are required to create certain accounts. You are responsible for the activation and deactivation of these third-party accounts and for complying with their terms of use.

For the use of "The Local Commerce Suite," a monthly base fee is charged. The amount of the base fee is determined by the agreement between the user and youbuyda.

    • Monthly usage fee of €29.00 per branch
  2. ShopLocal (youbuyda Shop)
    • One-time data connection fee of €500.00 per company

    • 1.5% per online payment
    • 1.5% per reservation
  3. Shop&Connect (Google SWIS + Shop)
    • One-time data connection fee of €500.00 per company
    • Monthly usage fee of €29.00 per branch
    • 1.5% per online payment
    • 1.5% per reservation
  4. Amazon C&C (Amazon BOPIS in store)
    • One-time data connection fee of €500.00 per company
    • Monthly usage fee of €29.00 per branch
    • 1.5% per online payment
    • 0.5% per shipment

The activation of the payment system for our additional services requires a setup fee of €150.00 per company to cover the costs of setup and configuration according to individual requirements.

All prices are net prices. The applicable value-added tax (VAT), currently 19%, will be added to these prices. youbuyda reserves the right to charge additional fees for new features and additions. This requires the user's willingness to use and consent.

22. Final Provisions


For this contract and its implementation, the law of the Federal Republic of Germany shall apply exclusively, excluding the provisions of international private law.

If written form is required in the contractual provisions and the general terms and conditions, an email is sufficient to meet this requirement. This expressly applies to the placement of orders and cancellations.

The parties agree to maintain confidentiality regarding the contract contents, especially the conditions.

Severability clause: If one or more provisions of this contract are wholly or partially invalid or unenforceable, this shall not affect the validity of the remaining provisions of this contract. Instead of such invalid or unenforceable provision, the parties agree to establish a provision that is legally and practically closest to the economic purpose of the invalid or unenforceable provision. The same applies to any incompleteness.
